Special General Meeting - December 2008

On Tuesday 2 December the Rangiora Football Club held a Special General Meeting to consider the remit put forward by the Working Party and supported by the Committee. The remit was "That the Rangiora Football Club and the Kaiapoi Town Association Football Club, agree to merge to form the North Canterbury United Football Club Inc. with this Club to be responsible for all liabilities, assets and members of the two Clubs".

The meeting was well attended and the minutes from the meeting are attached. The SGM was run by Chris Kerr, Club President, and the attached minutes highlight some of the procedural issues raised at the meeting.

The meeting voted to proceed with the merger as set out in the remit by 26 votes for to 24 votes against.

Since the meeting there have been a number of questions raised regarding the process for voting and whether the closeness of the vote provides a suitable mandate for the Club to proceed with the merger. In order to resolve these issues Chris Kerr requested the RFC Committee to review the questions raised and to make a determination of whether they as the governing board of the Club were happy to proceed or wanted to stop the process and re-do the vote. The minutes from the discussions with the Committee members and their decision is attached. As Chris Kerr managed the process of the SGM he did not vote with the Committee but facilitated the discussions.

The Committee has voted to proceed with the merger by a substantial majority.

Given this decision the next stage of the process is for the AGM of North Canterbury United to be held, this meeting is to be held Wednesday 17th December 2008, 7pm, at Maria Andrews, Rangiora. All members are invited to attend.
